TowGrid Provider Agreement
Last updated: September 6, 2026 (version 2026-09-06.1)
This Provider Agreement applies to every towing, recovery, and roadside service company that accepts jobs through TowGrid. It applies together with the Marketplace Agreement and the Privacy Policy. TowGrid is a technology marketplace and does not employ, supervise, control, or direct providers or their drivers.
1. Independent Contractor Status
You are an independent business. Nothing in this Agreement creates an agency, partnership, joint venture, employment, franchise, or fiduciary relationship between you and TowGrid. You control your own vehicles, drivers, equipment, hours, routes, methods, pricing inputs, and business operations, and you decide whether to accept any job offered through the platform.
TowGrid does not own your vehicles, employ your drivers, direct your physical work, control your methods, or guarantee your performance. You are responsible for your own taxes, benefits, payroll, and personnel obligations.
2. Sole Responsibility for Services
You are solely responsible for every aspect of the services you perform, including: vehicles and trucks; drivers, employees, and subcontractors; equipment and rigging; towing, winching, and recovery; loading, unloading, and transport; storage and impound; roadside assistance; custody and handling of customer vehicles and property; damage caused during service; personal injury or death caused by you or your personnel; compliance with applicable law; licenses, permits, and operating authority; insurance; and the conduct of everyone acting on your behalf.
3. Representations and Warranties
You represent and warrant, continuously while your account is active, that you:
- Are legally authorized to operate in every jurisdiction where you accept jobs
- Hold and maintain all required licenses, permits, and operating authority
- Maintain all insurance required by this Agreement and by law
- Use properly licensed, qualified, and legally eligible drivers
- Maintain safe, roadworthy, and properly maintained trucks and equipment
- Will comply with all applicable laws, regulations, and safety requirements
- Will keep your profile, coverage, hours, availability, and pricing accurate
4. Insurance Requirements
You must maintain, at your own expense, commercially appropriate insurance for the services you perform, and provide certificates or other evidence promptly upon request. Your TowGrid profile records:
- Commercial Auto Liability — carrier, policy number, limit, expiration
- Commercial General Liability — carrier, policy number, limit, expiration
- Garagekeepers / On-Hook / Cargo coverage for vehicles in your care, custody, or control — carrier, policy number, limit, expiration
- Workers' Compensation where legally required, or a documented exemption
- Any other coverage required by law or by a customer contract
Expired or lapsed coverage may make you ineligible for job matching and may result in suspension. TowGrid does not verify, underwrite, or guarantee your coverage.
5. Your Indemnification of TowGrid
To the maximum extent permitted by applicable law, you will defend, indemnify, and hold harmless TowGrid and its owners, officers, directors, employees, contractors, and affiliates from and against any claim, demand, action, loss, liability, damage, fine, penalty, cost, or expense (including reasonable attorneys' fees) arising out of or relating to your services, negligence, gross negligence, willful or intentional misconduct, vehicle operation, driver conduct, property damage, personal injury, death, regulatory or safety violations, licensing violations, insurance failures, personnel or wage claims, and any breach of this Agreement.
You remain fully responsible for your own gross negligence, willful misconduct, and intentional misconduct. Nothing in this Agreement purports to waive claims that cannot legally be waived.
6. Dispatch, Acceptance, and Performance
Job offers are transmitted based on service type, coverage, availability, equipment, and pricing you configure. Accepting an offer forms a direct service contract between you and the customer. You must perform accepted jobs promptly, safely, and lawfully, keep job status current, and communicate delays. Repeated non-response, late arrival, or cancellation may reduce match priority or result in removal from the marketplace.
7. Fees, Payouts, and Subscription
TowGrid charges a marketplace fee on completed jobs and a monthly Provider Subscription. Customer payments are collected up front by the payment processor; your earnings, less the marketplace fee and applicable adjustments, are paid to your connected bank account after job completion. You are responsible for your own tax reporting. Subscription fees may be cancelled at any time and access continues through the current billing period.
8. Customer Disputes
Damage, delay, workmanship, and conduct disputes are primarily between you and the customer, and must be handled through your insurance and claims process. TowGrid may provide job records and communication logs and may suspend accounts, but is not the service provider, insurer, adjuster, or arbiter of fault.
9. Liability, Arbitration, and Governing Law
The limitation of liability, aggregate cap, arbitration, class-action waiver, and governing-law provisions in the Marketplace Agreement apply to you and are incorporated by reference, in each case only to the maximum extent permitted by applicable law. Nothing in these documents excludes or limits liability to the extent such exclusion or limitation is prohibited by applicable law.
10. Acceptance and Termination
You must affirmatively accept this Agreement and the Marketplace Agreement before receiving job offers. Acceptance is recorded with your user ID, account type, document version, timestamp, method, and event. Either party may terminate at any time; sections covering responsibility, indemnification, insurance evidence, liability, and dispute resolution survive termination.
